HeyHi Terms of Service

Effective Date: September 22, 2026

Article 1 (Purpose)

The purpose of these Terms is to set forth the rights, obligations, and responsibilities of Carpe Inc. (the “Company”) and users, as well as other necessary matters, in connection with the use of HeyHi, the AI character chat service operated by the Company, and all services incidental thereto (collectively, the “Service”).

Article 2 (Definitions)

  1. Service: All HeyHi-related features provided by the Company in online environments such as the web and apps, including AI character chat, relationship and story progression, content provision, Credit usage, and notifications
  2. User: A member or non-member who uses the Service in accordance with these Terms
  3. Member: A user aged 14 or older who has agreed to these Terms and the required policies and has entered into a service agreement with the Company
  4. Account: A unit of electronic information created, or linked with an external account, to identify a Member and enable use of the Service
  5. Character: A fictional persona created and managed by the Company for provision in the Service, together with its profile, settings, images, and stories
  6. Company Content: Characters, profiles, settings, scenarios, stories, images, CGs, UI, logos, and other content created or lawfully provided by the Company
  7. User Input: Information entered or transmitted by a user through AI chat, Personas, comments, inquiries, and the like
  8. AI Output: Dialogue, action descriptions, Inner Thoughts, and other results generated by AI based on User Input and the state of the Service
  9. Story: A unit of progression that includes the chat history with a specific Character, as well as relationship stage, affinity, memories, scenes, story progress, and the like
  10. Credits: Service-exclusive electronic goods consumed to use chat within the Service or premium features designated by the Company
  11. Paid Credits: Credits purchased by a Member for payment
  12. Free Credits: Credits provided free of charge through attendance, ad viewing, events, promotions, rewards, and the like
  13. Paid Services: The purchase of Credits and other features, content, and services provided by the Company for a fee
  14. Operating Policy: Detailed policies separately established and posted by the Company for the safe and smooth operation of the Service

Article 3 (Posting and Amendment of the Terms)

  1. The Company posts these Terms on the Service screen or a linked screen so that users can easily review them.
  2. The Company may amend these Terms to the extent that doing so does not violate applicable laws.
  3. When amending these Terms, the Company will, as a rule, give notice 7 days in advance, specifying the effective date and the reason for the amendment; for changes that are unfavorable to users or material, the Company will give notice 30 days in advance.
  4. A Member who does not agree to the amended Terms may terminate the service agreement.

Article 4 (Rules Other Than the Terms)

The Company may separately establish a Privacy Policy, Youth Protection Policy, Operating Policy, Credit Purchase Guide, and the like, and matters not set forth in these Terms are governed by such policies and applicable laws.

Article 5 (Service Agreement)

  1. The service agreement is formed when a prospective user agrees to the required policies designated by the Company, applies for registration, and the Company accepts the application.
  2. The Company offers social login methods supported by the Company, such as Kakao, Google, and Apple. Available login methods may vary depending on the user's device and language settings.
  3. The Company may require additional verification for identity verification, age verification, account protection, payment protection, or compliance with laws.

Article 6 (Registration and Age Restrictions)

  1. HeyHi does not permit children under the age of 14 to register for or use the Service.
  2. The Company may refuse registration, or restrict or terminate the service agreement, where there are grounds such as misappropriation of another person's information, false information, re-registration to evade sanctions, automated abnormal registration, or security threats.
  3. The Company may apply a higher age requirement to certain content or features.

Article 7 (Account Management)

Members must manage their Accounts securely and must not transfer, sell, or lend their Accounts or use another person's Account. A Member who becomes aware of misappropriation or unauthorized use must notify the Company without delay.

Article 8 (Service Content)

The Company may provide the following features.

Article 9 (Creator of Characters)

  1. Characters provided in HeyHi are created, registered, and managed by the Company.
  2. Users are not provided with features to independently create, publish, or distribute Characters within the Service.
  3. The rights to Characters' profiles, settings, images, scenarios, official stories, and related Company Content belong to the Company or the lawful rights holder.

Article 10 (Nature and Limitations of the AI Service)

  1. The Service uses generative AI to generate Character dialogue and other results.
  2. AI Output may vary even for the same input and may not always be perfectly consistent with Character settings or previous conversations.
  3. AI Output may contain inaccurate or unexpected content.
  4. The Company does not guarantee the accuracy, truthfulness, completeness, or fitness for a particular purpose of AI Output.
  5. AI Characters are not real persons or professionals and do not replace professional judgment in areas such as medicine, law, investment, or taxation.

Article 11 (Relationship, Affinity, and Story Progression)

  1. The Service may change and save relationship stages, affinity, conversation memories, scenes, and story progression status based on interactions between the user and Characters.
  2. Relationship stages, affinity, unlock conditions, and balance may change for operational reasons.
  3. If a user selects a reset feature such as Start a New Story, the conversations, relationship, affinity, memories, and progression status within the scope indicated on that screen may be reset.
  4. The Company informs users of the main scope of impact before a reset.

Article 12 (Previous Stories)

  1. The Company may provide features that allow users to archive the current Story and start a new Story, or to resume an archived Previous Story.
  2. Previous Stories may include the chat history as well as the relationship, affinity, memories, scenes, and progression status as of that point in time.
  3. If a user deletes a Previous Story, the relevant data may not be recoverable, and the Company informs the user of this before deletion.

Article 13 (Premium Features Such as Inner Thoughts and Reroll)

  1. The Company may provide additional features such as Inner Thoughts and response regeneration (Reroll).
  2. Where Credits are used for such features, the Company displays the number of Credits to be consumed before execution.
  3. Credits already consumed are, as a rule, not restored, except as required by applicable laws or where the Company is at fault.
  4. If a user personally executes an action such as deleting a response and an already-purchased result is deleted as a result, the Credits used will not be returned unless otherwise notified.

Article 14 (Company Content and Intellectual Property Rights)

  1. Intellectual property rights relating to the Service, Characters, Company Content, UI, logos, programs, databases, and the like belong to the Company or the lawful rights holder.
  2. Members may use Company Content for personal, non-commercial purposes within the scope of using the Service.
  3. Members must not reproduce, sell, redistribute, commercially exploit, or use Company Content as AI training data without the Company's prior permission.
  4. Where AI Output includes the Company's Characters and settings, the rights to such Company Content are not transferred to the user.
  5. Whether independent rights arise in AI-generated output is determined in accordance with applicable laws, and the Company does not guarantee that any particular right arises.

Article 15 (User Input and Comments)

  1. The rights held by users in chat input, Personas, comments, and the like that they have personally written are retained to the extent recognized by applicable laws.
  2. Users must hold the rights necessary for the content they enter or post.
  3. The Company may process User Input to the extent necessary for providing the Service, maintaining conversation context, storage, ensuring safety, preventing fraudulent use, and customer support.
  4. The Company does not use users' AI chats for the purpose of training general-purpose AI models, and matters concerning the processing of chat data are governed by the Privacy Policy.

Article 16 (Prohibited Acts)

Members must not engage in the following acts.

Article 17 (Changes to and Suspension of the Service)

The Company may change the Service as necessary for operational or technical reasons, and will provide notice in accordance with applicable laws of any change that materially affects Members' rights or Paid Services. The Service may be temporarily suspended in unavoidable cases such as maintenance, failures, outages of external services, or natural disasters.

Article 18 (Notices and Notifications)

  1. The Company may provide necessary information through in-Service notifications, push notifications, email, and the like.
  2. Advertising information is sent only where separate consent to receive it has been obtained in accordance with applicable laws.
  3. Important non-advertising information, such as information on security, payments, amendments to the Terms, and Service outages, may be provided regardless of whether consent to receive advertising information has been given.

Article 19 (Paid Service Agreement)

  1. The Paid Service agreement is formed when a Member confirms the price and product details and makes a purchase using a payment method provided by the Company or an app marketplace.
  2. Before payment, the Company provides information on the product name, price, quantity provided, and key terms.
  3. Once payment is successfully completed, the purchased Credits or passes are granted to the relevant Account.

Article 20 (Credits)

  1. Credits are not real currency, do not accrue interest, and do not have a value equivalent to cash.
  2. Credits may be used only within the Service and, as a rule, may not be transferred, sold, lent, pledged as collateral between Members, or exchanged for cash.
  3. The Company may operate Paid Credits and Free Credits.
  4. Prices, quantities, uses, consumption amounts, and conditions for free grants are displayed on the Service screen.
  5. Paid Credits currently have no separate expiration period. If an expiration period is newly established, the Company will give prior notice in accordance with applicable laws.
  6. Free Credits may be subject to a separate expiration period or forfeiture conditions depending on the conditions of the grant, in which case this will be indicated on the grant screen.
  7. When Credits are used, Free Credits are deducted first, and any shortfall is deducted from Paid Credits. However, where a particular feature can be used only with either Paid Credits or Free Credits, this will be indicated on the relevant screen.

Article 21 (Free Credit Station)

The Company may provide Free Credits to Members who meet certain conditions, such as viewing ads, attendance, or events. The quantity granted, daily limits, participation conditions, and expiration period are displayed on the relevant screen, and where a reward has been obtained by fraudulent means, the Company may cancel the grant or restrict use.

Article 22 (Payments by Minors)

Where a minor purchases Paid Services, the consent of the legal representative may be required in accordance with applicable laws, and payments made without such consent may be canceled in accordance with applicable laws.

Article 23 (Withdrawal of Subscription and Refunds)

  1. To the extent provided by applicable laws, a Member may withdraw a subscription for a product purchased for a fee within 7 days from the date on which the Member received the contract details or the product was supplied.
  2. Withdrawal of a subscription may be restricted where grounds specified by applicable laws apply, such as where Credits or Paid Services have already been used or where provision of digital content has commenced.
  3. Where the actual product differs from what was indicated or advertised, or the contract was performed differently from its terms, the Member may withdraw the subscription or take similar action within the period prescribed by applicable laws.
  4. Withdrawal of subscriptions and refunds for app marketplace payments may be processed in accordance with the policies of the relevant app marketplace.
  5. Where normal use is impossible due to the Company's fault, the Company will provide a refund or compensation in accordance with applicable laws.

Article 24 (Obligations of the Company)

The Company complies with applicable laws and these Terms, takes reasonable measures to protect personal information and the security of the Service, and establishes an operating system for handling user inquiries and complaints and for youth protection.

Article 25 (Restrictions on Use)

In the event of a violation of these Terms, the Operating Policy, or applicable laws, the Company may take measures such as warnings, feature restrictions, deletion of comments, recovery of fraudulently obtained Credits, temporary or permanent suspension of use, termination of the service agreement, and restriction of re-registration.

Article 26 (Termination of the Service Agreement)

A Member may apply to withdraw membership at any time through the settings in the Service. Upon withdrawal, personal information and Service data are processed in accordance with the Privacy Policy and applicable laws, and any Credits held, as well as Free Credits and promotional benefits, may be forfeited.

Article 27 (Protection of Personal Information)

Matters concerning the processing of personal information are governed by the HeyHi Privacy Policy.

Article 28 (Limitation of Liability)

  1. The Company is not liable, to the extent permitted by applicable laws, where it is unable to provide the Service due to force majeure or failures beyond the Company's reasonable control.
  2. The Company is not liable for damages attributable to a Member's fault, unless there is willful misconduct or gross negligence on the part of the Company.
  3. The Company does not guarantee the factuality, accuracy, consistency, or any particular expected result of AI Output.
  4. This Article does not exclude any liability that the Company must bear under applicable laws.

Article 29 (Compensation for Damages)

Where the Company or a Member violates these Terms and causes damage to the other party, the party at fault shall compensate for the damage in accordance with applicable laws.

Article 30 (Governing Law and Jurisdiction)

These Terms are interpreted in accordance with the laws of the Republic of Korea, and jurisdiction over disputes is governed by applicable laws and the Civil Procedure Act.

Addendum

These Terms take effect on September 22, 2026.
